Lemoine License and Service Agreement

For the purposes of these terms, “Lemoine” refers to Lemoine Development Corporation, Mach2D Solutions Inc., and any entity wholly owned or operated by them. This definition excludes all independent resellers, including but not limited to Lemoine Limited (UK) and Lemoine Europe (Italy), which operate as separate legal entities.

Please read carefully: Lemoine licenses the software and other licensed materials only on the condition that you accept all of the terms contained or referenced in this Agreement.

If you purchased this product in Canada, you agree to the following: The parties hereto confirm it is their wish this Agreement, as well as other documents relating hereto, including Notices, have been and shall be written in the English language only. Les parties ci-dessus confirment leur désir que cet accord ainsi que tous les documents, y compris tous avis qui s’y rattachent, soient rédigés en langue anglaise.

If you have purchased a subscription, service, or maintenance plan for any Lemoine offering, the applicable terms are described in our General Terms and Offering Types and Benefits documents. Capitalized terms not defined herein have the meaning assigned in those documents.

By selecting the “I accept” button (or similar mechanism to acknowledge agreement), or by installing, downloading, accessing, or otherwise using any portion of the Lemoine Materials, you confirm that:

• You have read and agree to the General Terms, including any applicable terms related to licensing, subscriptions, support, or offering-specific benefits;

• Those terms apply to all Lemoine Materials provided to you under any license, subscription, or service plan; and

• If those General Terms do not apply or are not binding on you, you agree to be bound by this License and Service Agreement instead.

You represent and warrant that you have the authority to accept this Agreement on behalf of the entity you represent (if any), or on your own behalf as an individual. You agree that the entity (or you personally, if there is no such entity) is bound by this Agreement. You may not accept this Agreement on behalf of another entity unless you are an employee or other agent of such entity with the authority to bind it.

If you do not agree to these terms or lack the authority to accept them:

• Do not select the “I accept” button, and do not install, download, access, or use any part of the Lemoine Materials; and

• Refer to our Return Policy for eligibility and refund procedures.
